These Terms of Service ("Terms") govern your access to and use of the Corp Surplus platform ("Platform"), operated by Corp Surplus at corpsurplus.com. Corp Surplus provides a business-to-business (B2B) marketplace platform that enables organisations to list, auction, and sell surplus corporate inventory — including office equipment, electronics, furniture, and peripherals — to verified employees and other authorised buyers.
The Platform facilitates connections between selling organisations ("Sellers") and buyers ("Buyers"), including live auctions, fixed-price listings, private storefronts, Stripe-powered payments, and ESG/impact reporting tools.
The Platform is available to business entities only. By registering, you represent and warrant that:
Corp Surplus reserves the right to verify eligibility and to decline or revoke registration at its discretion.
You must register with a verified work email address. We use one-time passcode (OTP) authentication — no passwords are stored. You are responsible for maintaining the security of your email account and for all activity that occurs under your account.
You agree to notify us immediately at support@corpsurplus.com if you become aware of any unauthorised access to your account.
You agree not to use the Platform to:
Corp Surplus reserves the right to remove any listing that violates these rules without notice.
Corp Surplus provides the marketplace infrastructure but is not a party to transactions between Buyers and Sellers. Each transaction is a direct agreement between the Buyer and Seller, and Corp Surplus makes no representations or warranties regarding the quality, safety, or legality of listed items.
Access to and use of the Platform is subject to the following fees:
All fees are subject to change. Corp Surplus will provide reasonable notice of fee changes. Continued use of the Platform after fee changes take effect constitutes acceptance of the new fees.
Platform: Corp Surplus owns all rights, title, and interest in the Platform, including its software, design, trade marks, and content created by Corp Surplus. Nothing in these Terms transfers ownership of the Platform to you.
Your content: you retain ownership of all inventory listings, images, and other content you submit to the Platform ("User Content"). By submitting User Content, you grant Corp Surplus a non-exclusive, worldwide, royalty-free licence to display, reproduce, and distribute your User Content solely for the purpose of operating and promoting the Platform.
You represent that you have the right to grant the above licence and that your User Content does not infringe any third-party rights.
To the fullest extent permitted by applicable law:
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages; in such jurisdictions, our liability is limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless Corp Surplus and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.
Corp Surplus may suspend or terminate your account and access to the Platform at any time, with or without notice, if:
You may terminate your account at any time by contacting support@corpsurplus.com. Termination does not entitle you to a refund of any prepaid fees except where required by applicable law.
Sections 7, 8, 9, 11, and 12 survive termination of these Terms.
These Terms are governed by and construed in accordance with the laws of [Jurisdiction TBD], without regard to its conflict of law principles.
